Cycurion to Buy Kustom Entertainment's Video Unit in July 2026 Deal
Cybersecurity firm Cycurion signs an asset purchase agreement to acquire Kustom Entertainment's video-solutions division, gaining patents and new clients.
Cybersecurity company Cycurion, Inc. (NASDAQ: CYCU) announced Monday it has signed an Asset Purchase Agreement, dated June 24, 2026, to acquire substantially all assets of Kustom Entertainment's (NASDAQ: KUST) legacy video-solutions segment, with closing expected in early July 2026. The McLean, Virginia-based firm said the transaction would bring roughly 1,000 new clients and a portfolio of approximately 58 patents into its fold.
The acquired business covers the full spectrum of Kustom's video-solutions operations, encompassing the development, sale, licensing, support, and servicing of video hardware, camera products, platforms, and software solutions. Cycurion described the deal as non-dilutive, a term that signals the transaction is structured in a way that avoids issuing new shares and therefore does not reduce existing shareholders' ownership stakes — a notable consideration for investors watching the company's capital strategy.

For Cycurion, which positions itself as an AI-driven cybersecurity and managed-services provider, the acquisition represents a deliberate move to diversify its technology stack and expand its customer base in a single transaction. Adding nearly 58 patents could also strengthen the company's intellectual-property position at a time when AI-adjacent security firms increasingly compete on proprietary technology differentiators.
The deal remains subject to the satisfaction or waiver of closing conditions outlined in the Asset Purchase Agreement. Neither company disclosed the financial terms of the transaction in Monday's announcement. Investors and analysts will likely be watching closely for any regulatory or shareholder hurdles that could affect the anticipated early-July close.
